NOTES:

Amemberof theCompanyentitled toattendandvoteat thismeetingmayappoint notmore than two (2)proxies
tovote inhisstead.Whereamemberappoints twoproxies, theappointment shall be invalidunlesshespecifies
theproportions of his shareholdings tobe representedby eachproxy.Aproxymay but neednot beamember
of theCompany and the provisions of Section 149(a) and 149(b) of theCompaniesAct, 1965 shall not apply
to theCompany.

Amemberwho isanauthorisednomineeasdefinedunder theSecurities Industry (CentralDepositor)Act, 1991
may appoint not more than two (2) proxies in respect of each securities account.
