26) CORPORATEPROPOSALS
On 20th March 2014, the Company announced that it proposes to establish and implement a
Share IssuanceScheme (“Scheme”).
The salient features and conditions of theScheme are as follows:
(i) the total numberof newshares tobeofferedand issuedunder theSchemeshall not exceed
fifteen percent (15%) of the total issued and paid up share capital of theCompany at any
point of timeduring the durationof theScheme;
(ii) eligiblepersons are confirmedemployees includingexecutiveandnon-executivedirectors
of theGroup and have been employed or appointed by theCompany in theGroup, which
is not dormant;
(iii) notmore than tenpercent (10%)of theproposedallocationunder theScheme tobeallocated
toanyeligibleperson,who, either singlyor collectively throughpersonsconnectedwith the
eligible person, holds twenty percent (20%) or more of the total issued and paid-up share
capital;
(iv) the option pricemay be at a discount of not more than ten percent (10%) from the five (5)
daysweightedaveragemarket priceof theunderlyingsharespreceding thedateof offer or
at par value of the ordinary shares of theCompany, whichever is higher; and
(v) theScheme shalll be in force for a period of five (5) years and extendable for another five
(5) years from theeffective date.
BursaSecuritiesMalaysiaBerhad (“BursaSecurities”) had vide its letter dated28thMarch2014
approved the listingof suchnumber of additional new shares representingup to15%of the total
issuedandpaid-upordinary share capital tobe issuedpursuant to theexerciseof options under
theScheme, subject to the following conditions:
(i) TheAdvisers are required to submit a confirmation to Bursa Securities of full compliance
of the Scheme pursuant to the Listing Requirements and stating the effective date of
implementation; and
(ii) Payment of additional listing fees, if relevant. In this respect, the Company is required to
furnishBursaSecuritiesonaquarterlybasisasummaryof the total numberof sharesunder
theScheme listedasat theendof eachquarter togetherwithadetailed computationof the
listing fee payable.
